Emageon's Buyout Plans Shift

Highlights include Emageon Inc. (EMAG), Health Systems Solutions, Inc. (HSSO) and AMICAS Inc. (AMCS).

Emageon Inc.'s (EMAG) web-enabled software provides physicians in multiple medical specialties with dynamic tools to manipulate and analyze images in 2 and 3 dimensions. With these tools physicians have the ability to better understand internal anatomic structure and pathology, which can improve clinical diagnoses, disease screening, and therapy planning.

In February 2009, EMAG announced the termination of its merger agreement with Health Systems Solutions, Inc. (HSSO) and that it received the funds from escrow. Later in February 2009, AMICAS Inc. (AMCS) announced that it entered into a definitive agreement to acquire EMAG.

Price appreciation on the stock is limited to the all cash transaction price of $1.82 per share or roughly $39 million in total. Our target price is equal to this cash transaction price.
