The company reached its current form following the March 2005 merger between National Oilwell and Varco International. NOV divides its operations into two major segments: Energy Equipment, and Energy Products and Services.
Energy Equipment: The Rig Technologies unit (accounted for 24% of the company's 2022 adjusted EBITDA) designs and manufactures integrated drilling systems and components for land and offshore drilling rigs. It is also engaged in the delivery of consumables, spares and other necessary services to maintain the usefulness of the assets.
Energy Products and Services: The Energy Products and Services segment (46%) focuses on transactional businesses with shorter cycles, such as Tuboscope pipe coating and inspection, ReedHycalog drill bits, downhole tools and motors, Grant Prideco drill pipe, M/D Totco, and NOV Fiberglass Solutions. Scott Livingston has been appointed as President of Energy Supply and Services.
NOV has a solid track record of making and executing acquisitions. Over the last three years (2021-2023), the company paid approximately $123 million in cash to complete a host of acquisitions. Since its merger with Varco International, the company has emerged as a major one-stop-shop for the drilling industry, providing both capital equipment and support and supply services.
As of Dec 31, the company had cash and cash equivalents of $816 million and a long-term debt of $1.7 billion. It pays a quarterly dividend of 5 cents per share.
