The reported quarter's results were primarily hurt by lower investment income and weaker capital structuring service fees. Higher interest and credit facility fees also weighed on performance. However, lower total expenses, continued portfolio income and positive net unrealized investment gains provided some support.
GAAP net income was $319 million, or 44 cents per share, down from $404 million, or 57 cents per share, in the prior-year quarter. The decline primarily reflected a deterioration in net realized investment results, which swung to a loss, partly offset by an improvement in net unrealized investment results.
ARCC's Investment Income Declines, Expenses Remain Elevated
Total investment income was $763 million, which missed the Zacks Consensus Estimate of $780 million. The figure decreased 2.4% from the year-ago quarter. The decline reflected lower interest income from investments, capital structuring service fees and other income, partly offset by higher dividend income.

Total expenses declined 0.9% year over year to $429 million. Lower income-based fees and the absence of capital gains incentive fees helped offset higher interest and credit facility fees, base management fees and general and administrative expenses.
Net investment income decreased nearly 3% to $328 million. On a per-share basis, it fell to 46 cents from 48 cents a year earlier.
ARCC's Portfolio Activity Moderates

The company exited approximately $2.47 billion in investment commitments, compared with $2.63 billion a year earlier.
As of Sept. 30, 2026, the fair value of Ares Capital's portfolio investments was $29.21 billion, down marginally as of Dec. 31, 2025. The fair value of accruing debt and other income-producing securities was $26.05 billion.
First-lien senior secured loans accounted for 58% of the portfolio's fair value, while second-lien senior secured loans represented 4%. Floating-rate securities accounted for 70% of the portfolio's fair value, down from 72% at the end of 2025.
The weighted average yield on debt and other income-producing securities at fair value increased to 10.8% from 10.3% at year-end 2025.
Credit quality remained relatively stable based on the weighted average portfolio grade of 3.1. However, loans on non-accrual status increased to 2.4% of investments at amortized cost, compared with 1.8% as of Dec. 31, 2025. On a fair-value basis, the non-accrual ratio rose to 1.4% from 1.2%.
Management noted that the investment backlog had increased meaningfully from the previous quarter, with transaction activity strengthening as the fourth quarter began.

Total debt outstanding was $15.5 billion at principal value, or $15.1 billion at carrying value. The company had approximately $6.9 billion available for additional borrowings under its existing credit facilities, subject to borrowing-base requirements and other restrictions.

Net asset value (NAV) declined to $19.31 per share from $19.94 as of Dec. 31, 2025. The debt-to-equity ratio improved slightly to 1.11 times from 1.12 times, while the ratio net of available cash declined to 1.06 times from 1.08 times.
During the quarter, Ares Capital issued $750 million in unsecured notes due in September 2033, bearing interest at 6.25%. The company also refinanced a debt securitization, reducing its blended weighted average spread and extending the maturity date.

Ares Capital Agrees to Acquire MidCap Financial
On Oct. 27, 2026, Ares Capital announced a definitive agreement to acquire MidCap Financial Investment Corporation (MFIC - Free Report) in a cash-and-stock transaction valued at approximately $2.6 billion in total enterprise value. The impending acquisition is expected to reinforce Ares Capital's position as the largest publicly traded business development company (BDC) and further strengthen Ares Management's presence in the U.S. middle-market direct lending space.
The transaction is expected to be modestly accretive to Ares Capital's core earnings per share, supporting its dividend-paying capacity. Additionally, the acquisition is anticipated to enhance portfolio diversification, broaden its borrower base and deepen relationships with private equity sponsors. The expanded scale is also expected to strengthen the company's competitive position and create additional opportunities for long-term growth.
Following the acquisition, Ares Capital expects its portfolio to exceed 800 companies, with more than $31 billion in investments at fair value, based on Sept. 30, 2026 figures. MFIC's preliminary estimated NAV was $12.86 per share as of that date, although its final figure may differ.
The acquisition is expected to close in the first half of 2027, subject to MFIC stockholder approval, regulatory clearances and other customary closing conditions.
Our Take on ARCC
Ares Capital continues to benefit from its diversified investment portfolio, substantial liquidity and access to funding. Higher portfolio yields and the proposed MidCap acquisition could support future earnings growth, strengthen diversification and expand lending opportunities.
However, lower core earnings, declining investment income and a moderation in new investment commitments remain concerns. The increase in non-accrual loans also warrants monitoring. While the acquisition is expected to be modestly accretive to core earnings, its ultimate benefits will depend on successful integration, portfolio performance and the transaction's completion.
Maintaining credit quality, controlling funding costs and converting its investment backlog into profitable investments will be important to sustaining earnings and supporting dividend payments.
