EQT Corporation (EQT - Free Report) has announced a definitive agreement to acquire Range Resources Corporation (RRC - Free Report) in an all-stock transaction, creating a leading U.S. natural gas producer with a combined enterprise value exceeding $50 billion. The merger is expected to strengthen EQT’s production capabilities, expand its resource base and enhance its position in the growing natural gas market.

EQT-RRC Deal to Strengthen Natural Gas Operations

The combined company will have net production exceeding 9 billion cubic feet equivalent per day (Bcfe/d), alongside more than 30 years of drilling inventory spanning nearly 3 million net acres. More than 3,700 miles of midstream infrastructure will strengthen its ability to transport natural gas efficiently.

The expanded asset base is expected to improve EQT’s ability to serve rising natural gas demand, particularly across the Appalachian region.

Merger to Deliver Significant Cost Savings for EQT

EQT anticipates annual cost savings of $325 million within two years through improvements in corporate operations, production activities and commodity marketing.

Long-term savings are expected to exceed $600 million, supported by infrastructure optimization, improved marketing margins and more efficient resource development.

The transaction is projected to lower EQT’s unlevered free cash flow breakeven below $2 per million British thermal unit, strengthening profitability across changing commodity-price environments.

Deal to Enhance EQT’s Financial Strength

The combined company is projected to generate approximately $20 billion in cumulative free cash flow over five years, based on recent commodity futures pricing.

The acquisition is expected to reinforce EQT’s financial position, with management anticipating BBB-quality credit metrics at closing.

EQT-RRC Merger Terms & Expected Closing

Under the agreement, Range Resources shareholders will receive 0.987 EQT shares for each Range Resources share held. Following completion, EQT shareholders will own about 73% of the combined entity, while RRC shareholders will hold the remaining 27%.

The transaction is expected to close in the first quarter of 2027, pending regulatory and shareholder approvals.

EQT’s management will lead the combined company, headquartered in Canonsburg, PA. Two RRC representatives, including chief executive officer Dennis Degner, will join EQT’s board.
