Ventas, Inc. (VTR - Free Report) reported third-quarter 2026 normalized funds from operations (FFO) per share of 99 cents, beating the Zacks Consensus Estimate of 98 cents by 1%. The metric increased 10% from the year-ago quarter.

Revenues climbed 23% year over year to $1.83 billion and surpassed the consensus estimate of $1.76 billion by 4%. Growth was led by the senior housing operating portfolio (SHOP), where same-store cash net operating income (NOI) rose 15.5%.

VTR's Senior Housing Revenues Drive Top-Line Growth

Resident fees and services increased 33.3% year over year to $1.45 billion, accounting for most of the company's revenue expansion. The increase was supported by senior housing investments and stronger operating performance.

Rental income from the outpatient medical and research (OM&R) portfolio rose 3.1% year over year to $233.2 million. However, rental income from triple-net leased properties declined 19.1% to $129.5 million, reflecting the impact of portfolio conversions.

Income from loans and investments increased to $12.2 million from $5.5 million in the prior-year quarter, providing additional support to the top line.

VTR's SHOP Metrics Reflect Stronger Occupancy

SHOP same-store average occupancy improved 290 basis points (bps) year over year to 92.1%. Average monthly revenue per occupied room (RevPOR) increased 5% to $5,518, supporting an 8.3% rise in same-store cash operating revenues to $1.04 billion.

Same-store SHOP operating expenses increased 5% to $664 million, while management fees rose 11% to $56.2 million. Revenue growth outpaced these costs, driving a 15.5% increase in same-store cash NOI to $318.3 million. Consequently, the same-store cash NOI margin expanded 190 bps to 30.7%.

Sequentially, same-store average occupancy improved 120 bps, while cash NOI increased 0.9%. U.S. SHOP remained particularly strong, delivering 17.1% year-over-year same-store cash NOI growth.

VTR's Same-Store NOI Rises Across Major Segments

Total company same-store cash NOI advanced 10.6% year over year to $578 million. SHOP remained the primary contributor, generating $318.3 million compared with $275.7 million in the prior-year quarter.

The OM&R portfolio generated same-store cash NOI of $141.6 million, up 2.5%. Its cash operating revenues rose 2.9% to $218.2 million, while the cash NOI margin contracted 30 bps to 64.9%.

Within OM&R, outpatient medical same-store cash NOI increased 4% to $117.2 million. However, research same-store cash NOI declined 3.8% to $24.5 million, as higher property-level operating expenses outpaced revenue growth.

Triple-net same-store cash NOI increased 8.4% to $117.6 million. Gains across the three operating segments supported the company's double-digit same-store cash NOI growth.

VTR Expands Senior Housing Investments

Ventas closed $1.2 billion of senior housing investments during the third quarter, bringing completed senior housing-focused investments to $5.2 billion year to date through Oct. 26, 2026.

Management expects these investments to enhance the company's multiyear growth rate and generate attractive financial returns. The company continues to advance an active pipeline of senior housing acquisition opportunities.

To fund its 2026 investment activity, Ventas settled 47.3 million shares of common stock under equity forward sales agreements through Sept. 30, 2026, generating gross proceeds of $3.9 billion. As of the same date, the company had another $0.8 billion of unsettled equity forward sales agreements, bringing total equity capital to $4.7 billion.

VTR Strengthens Leverage & Liquidity

The net debt-to-further adjusted EBITDA ratio improved to 4.4 times at quarter-end from 4.7 times sequentially. Management attributed the improvement to SHOP NOI growth and equity-funded senior housing investments.

Ventas ended September with $4.5 billion of available liquidity, including credit facility availability, cash and cash equivalents and unsettled equity forward sales agreements. Cash and cash equivalents totaled $202 million.

Total debt stood at $12.44 billion, down from $12.69 billion in the preceding quarter. The company's fixed-charge coverage ratio improved to 4.4 times from 4.2 times sequentially, reflecting stronger debt-servicing capacity.

Ventas Raises 2026 FFO Outlook

Management raised its 2026 normalized FFO per-share guidance to $3.87-$3.90 from $3.85-$3.90. The midpoint increased to $3.89 from $3.88, primarily driven by accretive senior housing investments, partially offset by interest rates and foreign exchange impacts.  The Zacks Consensus Estimate of $3.89 per share lies within the guided range.

The company reaffirmed expectations for SHOP same-store cash NOI growth of 15-17%, supported by occupancy growth of roughly 300 bps and RevPOR growth of about 5%.

The updated outlook assumes total company same-store cash NOI growth of 9-10.5%. Guidance also incorporates approximately $648 million of interest expense at the midpoint, compared with the previous assumption of $646 million.
