Aware’s Earnings Snapshot

Aware reported third-quarter 2026 revenues of $4.4 million, down 13.9% from $5.1 million in the year-ago quarter. The company incurred a net loss of $0.8 million, or 4 cents per share, compared with $1.1 million, or 5 cents per share, a year earlier.

Software subscription revenues increased 50.3% to $1.8 million from $1.2 million in the prior-year quarter, supporting AWRE's transition toward recurring revenue arrangements. However, non-recurring revenues declined to $0.4 million from $1.6 million, highlighting continued weakness in traditional software licensing activities.

For the first nine months of 2026, revenues declined 12.4% to $11.1 million from $12.6 million. Net loss widened to $6.8 million, or 31 cents per share, from $4.4 million, or 21 cents per share, in the comparable period.

AWRE's Key Metrics

Recurring revenues increased year over year to $4 million from $3.6 million, which accounted for more than 90% of quarterly revenues. Growth was primarily driven by on-premises term licenses, although renewal timing continued to influence quarterly results.

Aware's U.S. revenues remained relatively stable at $2.5 million in the third quarter of 2026, consistent with the year-ago period. Revenues from the U.K. declined 21.6% to $0.5 million from $0.6 million, while revenues from India dropped to $84,000 from $1 million. Meanwhile, Turkey's revenues increased to $0.4 million from $34,000, reflecting significant differences in performance across geographic markets.

Operating expenses declined 16.6% to $5.4 million from $6.4 million, reflecting previously implemented cost reductions. Operating loss narrowed to $0.9 million from $1.3 million, while adjusted EBITDA loss narrowed to $0.5 million from $0.8 million.

AWRE ended the quarter with $15.4 million in cash, cash equivalents and marketable securities, with no debt.

Net cash used in operating activities totaled $6.9 million during the first nine months of 2026 compared with $6.4 million in the prior-year period. The increase in cash utilization highlights continued pressure on operating cash flows despite improvements in quarterly profitability.

Deferred revenue stood at $5 million as of Sept. 30, 2026, compared with $5.1 million as of Dec. 31, 2025. Aware expects to recognize approximately 96% of its remaining deferred revenue over the next 12 months, providing some visibility into future revenue recognition.

Aware’s Management Commentary

CEO Ajay Amlani emphasized progress in expanding recurring revenues, improving operating efficiency and strengthening AWRE’s government and commercial customer relationships.

Aware secured a new government agency customer for its Awareness Platform's Intelligent Liveness capabilities, marking progress in its federal government strategy.

Management also highlighted a new commercial relationship with Adobe Acrobat Sign's distributor and increased customer activity in Latin America.

Amlani emphasized expanding existing customer relationships through cross-selling and upselling biometric matching, liveness detection and orchestration capabilities. However, he acknowledged that achieving consistent revenue growth remains an important priority.

Factors Affecting AWRE’s Results

Lower perpetual software license sales primarily contributed to the year-over-year revenue decline. Management explained that the timing of license deliveries and renewals can significantly influence quarterly performance.

Revenues from subscription-based contracts in the third quarter of 2026 increased to $2.1 million from $0.8 million in the year-ago quarter. In contrast, revenues from license and service contracts declined to $2.3 million from $4.3 million in the year-ago quarter. The contrasting trends highlight Aware's evolving revenue mix as subscription-based arrangements gain importance.

Meanwhile, the reduction in operating expenses helped narrow quarterly losses despite weaker revenues. The third quarter reflected the first full quarter of savings from cost-reduction initiatives implemented earlier in 2026.

AWRE also faces uncertainty surrounding federal procurement cycles, although management reported increased solicitation activity following the restoration of Department of Homeland Security funding.

Aware’s Outlook

Management expects a typical seasonal growth pattern in the fourth quarter, with a revenue mix broadly consistent with the third quarter.

Operating expenses are expected to remain generally aligned with the reduced cost structure established earlier in 2026.

Looking toward 2027, Aware intends to prioritize Awareness Platform adoption, customer expansion, recurring revenue growth and disciplined spending. However, management did not provide specific revenue or earnings guidance or a timeline for achieving sustained profitability.

AWRE’s Other Developments

Aware continued implementing its restructuring plan initiated in March 2026 to align operating expenses with business requirements. The initiative targets approximately $4 million in annualized savings.

Restructuring charges totaled approximately $0.7 million during the first nine months of 2026, primarily comprising employee severance and related benefits. The restructuring supports management's efforts to maintain a leaner operating structure while directing resources toward its core biometric identity platform.
