Read MoreHide Full Article

Key Takeaways

  • KeyCorp division plans to acquire Atlantic-Pacific, adding fund placement and secondary advisory capabilities.
  • The deal adds 30-plus professionals and global investor relationships across four major regions.
  • KeyCorp's investment banking fees rose 27% sequentially to $214 million in third-quarter 2026.

KeyCorp (KEY - Free Report) is strengthening its investment banking (IB) capabilities through the planned acquisition of Atlantic-Pacific Capital by its corporate and investment banking division, KeyBanc Capital Markets. The acquisition is expected to expand KeyBanc's financial sponsor business by adding global fund placement, direct private placement and secondary advisory services.

Atlantic-Pacific Capital, a New York-based private capital advisory firm serving financial sponsors and alternative investment managers, has completed more than 180 capital-raising assignments totaling more than $123 billion. Its services cover private equity, private credit, real estate and real assets.

The acquisition will add more than 30 professionals and an extensive network of institutional investor relationships across North America, Europe, the Middle East and Asia to KeyBanc's platform. This expanded reach will enhance KeyBanc's ability to advise financial sponsors on continuation vehicles, which allow private equity firms to retain selected investments beyond the life of an existing fund while providing liquidity options to investors.

The transaction is expected to close in early 2027, subject to regulatory approvals and customary closing conditions. The financial terms were not disclosed.

KEY's Investment Banking Business Shows Strong Momentum

KeyCorp is expanding its IB franchise amid improving capital markets activity. In the third quarter of 2026, investment banking and debt placement fees increased 27% sequentially to $214 million, driven by higher M&A and syndication activity. The company's IB pipeline increased 5% sequentially amid significant deal activity during the quarter and remained at historically elevated levels.

Management remains confident in its expectation for mid-single-digit IB fee growth in 2026. While middle-market M&A activity is yet to normalize, the company sees significant client engagement and expects activity to improve as market participants gain greater clarity on interest rates and transaction valuations.

KeyCorp has been investing in expanding its IB capabilities through banker additions and acquisitions, including the Clearwater Corporate Finance LLP ("Clearwater UK”) acquisition. The Atlantic-Pacific acquisition will complement the existing M&A, capital markets and sponsor coverage businesses with specialized fund placement and secondary advisory expertise. This will enable the company to serve financial sponsors across a broader range of transactions.

Our Take on KeyCorp

The impending Atlantic-Pacific acquisition will likely strengthen KeyCorp's financial sponsor coverage and broaden its IB capabilities.  The firm’s expanded global investor network is expected to also create cross-selling opportunities for KEY.

The acquisition, alongside expanded IB pipelines and management's mid-single-digit fee growth outlook for 2026, supports KeyCorp's strategy to expand fee-based revenues.

Over the past six months, shares of KEY have declined 2.9% against the industry’s 7.2% growth.
