Founded in 1970, this S&P 500 company was the first REIT to invest exclusively in healthcare facilities. Its portfolio is concentrated in major, high-growth markets in the United States, Canada and the U.K. In addition to this, the company also offers a vast range of property management and development services.
Welltower’s consolidated portfolio can be categorized into three operating segments — triple-net, seniors housing operating or SHO (operated through RIDEA structures) and OM facilities. In the fourth quarter of 2023, 50.9% of the company’s same-store NOI (SSNOI) came from SHO assets (647 properties), 25.4% from OM facilities (377 properties) and 19.4% from triple-net assets (316 properties).
The company’s SHO properties include seniors apartments, independent living/continuing care retirement communities, assisted living, independent supportive living communities and care homes, with and without nursing. Moreover, triple-net properties include the property types mentioned earlier along with long-term/post-acute care facilities. Under the triple-net segment, properties are primarily leased under triple-net leases and the company is not involved in the management of the property. Welltower’s OM properties are leased to multiple tenants.
Concurrent with the fourth-quarter 2023 earnings release, Welltower entered into a definitive agreement to acquire a portfolio of 25 age-restricted active adult communities from Affinity Living Communities for $969 million. The transaction is expected to be funded by cash and the assumption of $523 million of below-market-rate debt with an average interest rate of 3.8%. After the completion of the deal, subject to customary closing conditions, Welltower will significantly expand its market leadership with a total of around 25,000 units.
Note: All EPS numbers presented in this report represents funds from operations (FFO) per share. FFO, a widely used metric to gauge the performance of REITs, is obtained after adding depreciation and amortization and other non-cash expenses to net income.
